Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) govern access to and use of Denali OS (the “Service”), a software platform operated by Denali Consulting Services (“Denali,” “we,” “us”). By accessing the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Denali OS is a business-to-business platform Denali uses to deliver fractional CFO and advisory services. It connects to a client's accounting and operations tools to produce financial and operational deliverables, such as scorecards, month-end close workpapers, and meeting notes and tasks. The Service is provided to Denali staff and to authorized users of Denali's advisory clients.

2. Accounts and access

Accounts are created by an administrator for named individuals. You are responsible for keeping your credentials confidential and for activity under your account. Access is granted for the duration of the applicable engagement and may be suspended or revoked at any time. There is no self-service sign-up.

3. License

Subject to these Terms, Denali grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your engagement. You may not copy, resell, reverse engineer, or attempt to gain unauthorized access to the Service or to data that is not yours.

4. Connected services

The Service integrates with third-party systems that you authorize, including Intuit QuickBooks Online and Aspire. You authorize those connections through each provider's own consent flow, and your use of those systems remains subject to their respective terms. You may disconnect a connected service at any time, which revokes the Service's further access to it.

5. Read-only accounting; human approval

The Service accesses connected accounting systems (such as QuickBooks Online) on a read-only basis. No journal entry, invoice, or other record is written back to a connected accounting system by the Service, and no task or document is created in a connected system without an authorized person's action or approval. AI features assist with drafting and analysis; they do not post to your books.

6. Advisory outputs, not assurance

Deliverables and figures produced by the Service are advisory and informational. They do not constitute an audit, review, attestation, or tax advice, and they are not a substitute for professional judgment or your own records. Decisions you make based on outputs of the Service are your responsibility.

7. Data ownership

As between the parties, you retain all rights to the data you or your connected systems provide to the Service (“Client Data”). You grant Denali the right to process Client Data solely to operate the Service and deliver your engagement. Denali owns the Service software and any aggregated or de-identified operational metrics used to run and improve the platform that do not identify you or your clients.

8. Acceptable use

You will not use the Service to violate any law, infringe any right, upload malicious code, interfere with the Service's operation, or access data you are not authorized to access.

9. Confidentiality

Each party will protect the other's confidential information and use it only as needed to perform under these Terms. Client Data is treated as your confidential information.

10. Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Denali disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, or consequential damages, and Denali's total liability arising out of or relating to the Service will not exceed the fees paid for the engagement in the twelve months before the claim.

12. Term and termination

These Terms apply while you have access to the Service. Either party may terminate access in accordance with the applicable engagement. On termination your right to use the Service ends; data handling on termination is described in our Privacy Policy.

13. Changes

We may update these Terms from time to time. Material changes will be reflected by a new effective date on this page, and continued use of the Service after an update constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the United States and the state in which Denali Consulting Services is organized, without regard to conflict-of-laws rules.
